If there is any conflict between this translation and the English version, the English version of these Terms & Conditions is authoritative and governs.
MR Business OS (the "Software") and all of its source code, design, features, documentation, and underlying technology are the sole and exclusive property of Sankalp Enterprises, Delhi. Purchasing a plan grants a limited, non-exclusive, non-transferable right to use the Software as a hosted service for the duration of your subscription — it does not transfer any ownership, source code, or intellectual property rights. Sankalp Enterprises retains 100% ownership of the Software at all times.
Every checkout screen shows the plan price, the one-time Onboarding & Setup fee, GST (as applicable) as separate line items, and the final total — you always see the exact amount before completing payment. There are no hidden or usage-based charges beyond what is shown at checkout. All plans are prepaid: your workspace is created and access begins only after payment is received and confirmed, never before.
Your first payment includes a one-time Onboarding & Setup fee (5x your plan's monthly price, shown at checkout before you pay) — this covers workspace provisioning, initial branding & data configuration, and dedicated onboarding support to get your team live quickly. It is charged exactly once, on signup, and never again on any renewal or plan upgrade.
Every plan carries a minimum commitment period of 3 months from the date payment is confirmed. Any add-on module purchased separately carries its own independent 3-month minimum commitment from its own activation date. Downgrades or module removals are not available before the relevant commitment date.
Payments are non-refundable once processed — this applies to the Onboarding & Setup fee, plan subscriptions, upgrades, and renewals, regardless of usage level or reason for discontinuation. Please review your plan and billing cycle carefully, or reach out to us with questions, before completing payment.
Downgrading or cancelling auto-pay takes effect from your next billing cycle — it does not refund the current, already-paid cycle.
To cancel your subscription, you must notify us at least 3 months in advance. Cancellation only takes effect after Sankalp Enterprises reviews and approves the request and confirms there are no outstanding dues. Your workspace remains active and billable until cancellation is approved and finalized.
You may request a full export of your data at any time. For security, no data is downloaded, exported, or shared with any party until the request has been reviewed and approved by our team via email confirmation.
You may not copy, reverse-engineer, decompile, resell, sublicense, hack, probe for vulnerabilities, or otherwise misuse any part of the Software. Any attempt to circumvent the Software's licensing, multi-tenant isolation, or security controls is a material breach of these terms and may result in immediate suspension, without refund, and pursuit of all available legal remedies.
Our published plans (and the one-time Onboarding & Setup fee) cover the standard MR Business OS feature set. Any requirement outside of that — custom development, data migration, or a bespoke integration — is scoped and quoted separately, and is never charged without your explicit prior agreement.
These terms are governed by the laws of India. Any dispute, claim, or legal proceeding of any kind arising from or relating to the Software or these terms — regardless of where the client, user, vendor, affiliate, or any third party is located, in India or elsewhere — shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
The Software is provided on an "as is" basis. To the maximum extent permitted by law, Sankalp Enterprises' total liability for any claim arising from your use of the Software is limited to the amount you paid us in the 3 months preceding the claim.
We may update these terms from time to time. Continued use of the Software after an update constitutes acceptance of the revised terms.
